Pre-Disposition Due Diligence

Pre-disposition due diligence employs the same techniques and analyses to help understand and manage risk in a transaction, but its goal is to protect the ultimate value that the Seller seeks to attain. The three main focal areas include:

Anticipation of Deal Issues: Procedures are designed to help anticipate potential Buyer concerns and to address ways to mitigate the potential concerns before the LOI.

Optimization of Information Flow: Recommendations are developed that will help the management team prepare for the types of due diligence analyses that will likely be requested in the interest of shortening the information flow period to provide for a quicker close.

Working Capital Optimization: The Seller should position itself to minimize working capital at least twelve months before a contemplated sale to maximize the cash generated, and the Seller should also protect itself from a deficient working capital adjustment at Closing.
